Terms of Service

"Services" refers to all film production, video production, post-production, and related services provided by Ways Private Limited.

"Client" or "you" refers to any individual or entity using our services.

"Content" refers to all materials, including but not limited to text, images, videos, audio, and other media.

"Deliverables" refers to the final products or outputs agreed upon in a service contract.

By using our website or engaging our services, you acknowledge that:

• You have read, understood, and agree to be bound by these Terms
• You are at least 18 years of age or have parental/guardian consent
• You have the authority to enter into this agreement
• You will comply with all applicable laws and regulations

Ways Private Limited provides professional film and video production services, including but not limited to:

• Feature film production
• Music video production
• Brand content and commercials
• Documentary production
• Theatre productions
• Post-production services (editing, VFX, sound design, color grading)

Each project will be governed by a separate written agreement that includes:

• Scope of work and deliverables
• Timeline and milestones
• Payment terms and schedule
• Intellectual property rights
• Cancellation and refund policies
• Confidentiality obligations

In case of conflict between these Terms and a project-specific agreement, the project agreement will take precedence.

• All prices are quoted in Nepali Rupees (NPR) unless otherwise specified
• Payment schedules will be defined in project-specific agreements
• Typical payment structure: 50% advance, 50% upon completion (or as agreed)
• Late payments may incur additional charges as specified in contracts
• Final deliverables will be released only upon full payment
• Additional work beyond the agreed scope will be billed separately

Clients agree to:

• Provide accurate project information and requirements
• Provide necessary materials and resources in a timely manner
• Respond to requests for feedback within agreed timelines
• Ensure they have rights to all materials they provide
• Obtain necessary permissions, permits, and releases
• Make timely payments as per agreed schedules
• Communicate changes or concerns promptly

Revision policies will be specified in project agreements. Generally:

• A specific number of revision rounds is included in quoted prices
• Additional revisions beyond the agreed number may incur extra charges
• Major scope changes may require contract amendments and additional fees
• All change requests must be submitted in writing

Cancellation and refund terms will be specified in project agreements. Generally:

• Advance payments are non-refundable once work has commenced
• Clients may cancel projects with written notice; charges apply for work completed
• Ways Private Limited reserves the right to cancel projects with notice and full refund of unused payments
• Cancellation due to force majeure will be handled case-by-case

We warrant that our services will be performed with professional skill and care. However:

• Services are provided "as is" without warranties of any kind
• We do not guarantee specific results or outcomes
• We are not responsible for third-party equipment failures or technical issues beyond our control
• Clients are responsible for backing up their own materials

To the maximum extent permitted by law:

• Our total liability is limited to the amount paid for the specific service in question
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for lost profits, data, or business opportunities
• Clients must notify us of any issues within 30 days of delivery

We respect client confidentiality and will:

• Keep confidential information private unless authorized to disclose
• Use confidential information only for providing agreed services
• Require our team members and contractors to maintain confidentiality
• Sign separate NDAs when required by clients

These Terms are governed by the laws of Nepal. Any disputes will be resolved through:

• Good faith negotiations between parties
• Mediation if negotiations fail
• Jurisdiction of courts in Kathmandu, Nepal, if legal action is necessary
